Users Points Exchange Agreement

Important Notice: This Agreement forms a legally binding contract between you and any counterparty you engage with on the Estbdlha platform/Apps. By registering or accepting an exchange order, you confirm that you have read, understood, and agreed to the following terms and conditions.
- NatureoftheExchange
- The exchange of loyalty points is performed manually and directly between users.
- The app provides only a technical platform to publish, browse, and accept exchange orders.
- With full awareness of the risks, Users act on their own initiative, responsibility, and risk.
- UserResponsibilities
Each party agrees to:
- Transfer the agreed number of loyalty points to the other party through the relevant company’s (issuer) platform (e.g., via official websites or apps).
- Ensure that all recipient details (e.g., email, phone number, loyalty account) are accurate and correct.
- Complete the transfer without waiting for the other party to act first. Both parties must act promptly once the exchange order and contract/covenant is accepted. Delays negatively affect your rating and trustworthiness on the platform.
- Original owner of points must transfer the exact number of points in the agreement/covenant, if the points issuer charges any transfer fees, the original owner should pay it without any deduction to the transferred number of points in the agreement/covenant.
- Both parties should ensure that their points company (issuer) allow point transfer, and they should provide clear and complete Transfer Instruction.
- AcknowledgementofRisk
By participating in an exchange:
- You acknowledge that no part of the transfer process is performed or controlled by the app.
- You understand there is a risk of non-fulfillment by the counterparty.
- You waive any claims against the app for losses, delays, or damages.
- You agree to not request reimbursement or compensation from the app under any circumstance.
- OathandGoodFaithCommitment
You solemnly swear by God Almighty, and legally affirm under penalty of perjury, that:
- You will complete your part of any accepted deal in good faith.
- You will not deceive, delay, or breach your agreement.
- Violating this oath results in permanent ban and loss of access to the platform.
- HandlingBreachofCommitment
If a user fails to fulfill their side:
- The other party can file a complaint through the app.
- After verification, the app may:
- Permanently block the violator’s account, and the person who provided the invitation (invite code) to the violator user, and all invited users by violator user (recipient of invite code sent by violator).
- Decisions related to account banning or user blocking are final and at the sole discretion of the app administrators.
- Prevent re-registration using the same identity or device.
- Share full identity details with the counterparty or relevant authorities.
- The app will not provide refunds, compensation, or reversal of damage under any case.
- ReturnObligation
If you receive points but are unable to fulfill your part, you must:
- Immediately return the transferred points in full.
- This is your ethical and contractual obligation.
- Failure to do so results in reporting, banning as stated in section 5 “Handling Breach of Commitment”, and possible legal action by the other party.
- LegalandPersonalDataDisclosure
By using this App, you agree that:
- In case of a dispute or court action, the app may share your full data with:
- The counterparty pursuing legal action,
- Or any court, authority, or legal body requesting it.
- Shared data includes but not limited to name, national ID, email, mobile number, offer records, timestamps, and device info.
- NoLegalResponsibilityoftheApp
- The app does not guarantee value equivalency, account status, or technical success of point transfers.
- Without a complaint service request, the app does not mediate between users, does not investigate who is right or wrong, and does not interfere in any way.
- Your only remedy is reporting of the violator to ban him.
- IrrevocableAgreement
Once you accept or post a deal:
- You are irrevocably bound to complete the exchange unless both parties agree to cancel before any transfer is made.
- You must not transfer points until the agreement/covenant is accepted by both parties.
- The app does not support cancellation once an agreement/covenant is created.
- Fees and Refund Policy
- Service Fees: ESTBDLHA reserves the right to charge fees for certain features or services provided through the application. Any applicable fees will be clearly disclosed prior to confirmation of a transaction or action.
- Non-Refundable Fees: All service fees are non-refundable, unless otherwise specified.
- Fees Refund Eligibility: A partial refund may be issued to order creator only If an order is cancelled by the app or admin due to expiration.
- Rejected Covenants: If an order creator explicitly rejects the covenant (agreement), A partial refund may be issued to the second party only.
- Order Expiration
- Order Validity: All exchange orders are valid for a limited time as determined by the system (default 30 days).
- Automatic Expiration: Orders will automatically expire if:
- The time window expires without a confirmed covenant or response.
- The order creator does not take required actions (e.g., covenant rejection or approval) within the allowed timeframe (default 3 days).
- Both parties do not do transfer within 3 days.
- Expired Order Handling: When an order expires, It is marked as “Cancelled” in the system.
